Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Grid1x website, marketplace, vendor portal, and related services (collectively, the "Service") operated by Grid1x, Inc. ("Grid1x," "we," "us," or "our").
By creating an account, accessing the vendor portal, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Eligibility and accounts
You must be at least eighteen years old and able to form a binding contract to use the Service. Vendor accounts must be created by individuals authorized to act on behalf of their company.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@grid1x.com of any unauthorized use.
We may suspend or terminate accounts that violate these Terms, our community guidelines, or applicable law.
Marketplace use
Grid1x provides a platform for researching business software, reading reviews, and comparing products. Listing information, reviews, and scores are provided for informational purposes and do not constitute professional advice or an endorsement.
Buyers may browse, search, compare products, and submit reviews subject to our review policies. Vendors may claim profiles, manage listings, and access analytics according to their subscription plan.
You agree not to scrape, reverse engineer, or systematically extract data from the Service except as permitted by our robots.txt or a written agreement with Grid1x.
User content and reviews
You retain ownership of content you submit, including reviews and listing materials. By submitting content, you grant Grid1x a worldwide, non-exclusive license to use, display, reproduce, and distribute that content in connection with operating and promoting the Service.
Reviews must reflect genuine experience with the software reviewed. You may not post false, misleading, defamatory, or paid reviews without disclosure, or content that infringes third-party rights.
We may moderate, remove, or decline to publish content that violates these Terms or our community guidelines, without prior notice.
Vendor plans and billing
Vendor subscription fees, plan features, and billing terms are described on our Pricing page and in order confirmations. Fees are billed in advance according to the selected plan unless otherwise stated.
You authorize us and our payment processors to charge applicable fees. Except where required by law, fees are non-refundable once a billing period has started.
We may change plan pricing or features with reasonable notice. Continued use after a price change constitutes acceptance of the new pricing for subsequent billing periods.
Prohibited conduct
You may not use the Service to violate law, transmit malware, interfere with platform security, impersonate others, harvest personal data without consent, or manipulate reviews, rankings, or analytics.
You may not use automated means to access the Service in a manner that burdens our infrastructure or circumvents access controls.
Vendors may not misrepresent product capabilities, use misleading pricing, or claim listings for products they do not own or represent.
Intellectual property
Grid1x and its licensors own the Service, including the Grid1x name, logo, Grid Score methodology, site design, and proprietary data compilations. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service.
If you believe content on the Service infringes your copyright, contact legal@grid1x.com with a description of the work and the allegedly infringing material.
Third-party services and links
The Service may link to third-party websites, integrations, or vendor products. Grid1x does not control and is not responsible for third-party services, their privacy practices, or their terms.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that reviews are accurate, complete, or unbiased, or that the Service will be uninterrupted or error-free.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRID1X AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS YOU PAID TO GRID1X IN THE TWELVE MONTHS BEFORE THE CLAIM.
Indemnification
You agree to indemnify and hold harmless Grid1x from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.
Termination
You may stop using the Service and request account deletion at any time through account settings or by contacting support.
We may suspend or terminate your access immediately for violations of these Terms, legal requirements, or risks to the platform or other users. Provisions that by nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnity.
Governing law and disputes
These Terms are governed by the laws of the State of California, excluding conflict-of-law principles, except where mandatory local law applies.
Except where prohibited, disputes will be resolved in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction in those courts.
Changes to terms
We may modify these Terms from time to time. We will post updated Terms on this page and update the "Last updated" date. Material changes will be communicated through the Service or by email where appropriate. Continued use after changes become effective constitutes acceptance.
